IMPLEMENTATION OF NEW MODEL OF CORPORATE GOVERNANCE WITHIN UNIPETROL GROUP – ENTERING INTO AGREEMENTS ON TRANSFER OF 100% OWNERSHIP INTEREST IN STEEN ESTATES S.R.O. AND MELIBA ESTATES S.R.O.
In connection with the pending implementation of the new model of corporate governance within the Unipetrol Group, on 22 December 2006, UNIPETROL, a.s. concluded with a Dutch company Tresacon B.V. two agreements on transfer of 100% ownership interest in:
- Steen Estates s.r.o., which will be used for purposes of the merger by acquisition of CHEMOPETROL, a.s., UNIPETROL RAFINÉRIE a.s. into this company and which will be, as a consequence of the merger, a legal successor of both these companies; and
- Meliba Estates s.r.o., into which, during the year 2007, will be transferred activities of the so-called Shared Service Centre established within UNIPETROL RAFINÉRIE a.s. as of 1 January 2007.
Steen Estates s.r.o. and Meliba Estates s.r.o., to date, neither have performed any business and other similar activities, nor traded or provided any services.
