IMPLEMENTATION OF NEW MODEL OF CORPORATE GOVERNANCE WITHIN UNIPETROL GROUP – REGISTRATION OF MERGER BY ACQUISITION OF CHEMOPETROL, A.S., UNIPETROL RAFINÉRIE A.S. AND UNIPETROL RPA, S.R.O. INTO COMMERCIAL REGISTER
In connection with the inside information of UNIPETROL, a.s. dated 12 July 2007, UNIPETROL, a.s. hereby notifies that on 1 August 2007, the merger by acquisition of CHEMOPETROL, a.s. and UNIPETROL RAFINÉRIE a.s., as dissolving companies, into UNIPETROL RPA, s.r.o., as a surviving company, was registered in the Commercial Registry, provided that on 1 August 2007:
- CHEMOPETROL, a.s. and UNIPETROL RAFINÉRIE, a.s. were wound up without liquidation and dissolved; and
- the assets of these companies, including the rights and obligations from labor law relationships passed, by operation of law, to UNIPETROL RPA, s.r.o.
