The General Meeting also decided on the profit distribution and confirmed three members of the Supervisory Board in their functions. An amendment to the Articles of Association was also adopted to allow meetings of the Board, the Supervisory Board and the Audit Committee to be held through teleconferences and video-conferences. Unipetrol´s unconsolidated profit for 2010 amounts to 512.1 mil koruna when 95% of which will be allocated to the account of retained earnings from previous years and the rest to the reserve fund.
The General Meeting re-elected into its functions three members of the Supervisory Board to whom term of office has expired. Mr Dariusz Jacek Krawiec, previous Chairman of the Supervisory Board, Mr Sławomir Robert Jędrzejczyk, previous Vice-Chairman, and Mr Piotr Kearney were re-elected as the members of the Supervisory Board. Besides these three members named, Mr Ivan Kočárník, Mr Zdeněk Černý, Mr Bogdan Dzudzewicz, Mr Andrzej Jerzy Kozłowski, Mr Krystian Pater and Mr Rafał Sekuła will continue working in the Supervisory Board.
The shareholders also approved the amendment to the Articles of Association at the General Meeting, which aims to make more effective the meetings of the Board, the Supervisory Board and the Audit Committee of Unipetrol. Newly arranged is a possibility of holding their meetings by teleconference or video-conference. There were also adopted other related changes that will dramatically simplify and accelerate the work of these supreme bodies of the Company.
At the time of opening the session, the General meeting was attended by 42 shareholders or their representatives, who disposed of total 64.89% of voting rights.
