Information on changes in the Board of Directors of UNIPETROL, a.s.

Prague, 29 August 2005 – the Supervisory Board of UNIPETROL, a.s. accepted today on its meeting the resignation of Mr. Pavel Švarc from the post of the UNIPETROL a.s. Board of Directors as of 31 August 2005. The Supervisory Board of UNIPETROL a.s. thanked Mr. Peter Švarc for managing the company for many years and for contributing to an efficient restructuring and privatization of UNIPETROL a.s. The Supervisory Board of UNIPETROL a.s. expresses its hope in the continuation of the fruitful cooperation with Mr. Pavel Švarc in his new role of future chairman of the Board of Directors of ČEPRO.

The Supervisory Board of UNIPETROL a.s. at the same time recommended to the Board of Directors of UNIPETROL a.s. to temporarily authorize Mr. Marek Mroczkowski, the vice-chairman of the Board of Directors for financial affairs, to perform the duties of the CEO – chairman of the Board of Directors of UNIPETROL a.s.

The Supervisory Board of UNIPETROL a.s. concurrently decided to organize a concourse in cooperation with a human resources agency with the aim to identify a member of the Board of Directors of UNIPETROL a.s. who would perform in the post of the chairman of the Board. The Supervisory Board of UNIPETROL a.s. inter alia expects from the potential candidates the knowledge of the Czech as well as the international oil market, experience in managing large organization and skills necessary to ensure efficient integration of the UNIPETROL group into the PKN ORLEN S.A. concern.

The Supervisory Board of UNIPETROL a.s. also unanimously appointed Mr. Dariusz Marzec member of the Board of Directors of UNIPETROL a.s. for investment affairs. Mr. Dariusz Marzec is a graduate of the faculty of management of the Warsaw University. He gained his professional experience in the Ministry of Property Transformation where he dealt with capital market analysis and general privatization program. Then he became Director in the companies Coopers & Lybrand, Arthur Andersen and Price Waterhouse Coopers. He specialized in preparation of companies for their quotation on the stock exchange, attracting investors to the Polish market and privatization. In the period of 2004-2005 he performed in the post of the Deputy Minister at the National Property Ministry.​
