COURT DISMISSED LEGAL ACTION OF MINORITY SHAREHOLDER AGAINST UNIPETROL

Municipal Court in Prague rejected an action of Adam Černý which was filed against UNIPETROL in November of last year.

Prague, 7th of August 07  –  On 23 November 2006, Adam Černý filed with the Municipal Court in Prague as a shareholder of UNIPETROL a legal action for declaration of invalidity of resolutions of Extraordinary Shareholders’ General Meeting of UNIPETROL which took place on 29 September 2006. In his legal action A. Černý asserted that UNIPETROL breached applicable law inter alia by not discussing at the Extraordinary Shareholders’ General Meeting of the annual report of UNIPETROL for 2005, and that the resolutions of the Extraordinary Shareholders’ General Meeting were not properly adopted.

On 3 August 2007, the Municipal Court in Prague dismissed the legal action of A. Černý in its entirety when it had not found the grounds for the declaration of invalidity of the Extraordinary Shareholders’ General Meeting.

The resolution of the Municipal Court in Prague has not become final yet.
