Herewith UNIPETROL a.s. announces that on 31st January 2006 BENZINA a.s., 100% subsidiary of UNIPETROL a.s., has concluded with Paramo a.s., 73.52% subsidiary of UNIPETROL a.s., the Sale and Purchase Agreement referring to 100% shares of Paramo Trysk a.s. The purchase price of 100% shares of Paramo Trysk a.s., representing registered capital of the company worth 133 500 000 CZK, was agreed at the level of 252 000 000 CZK.

The company Paramo Trysk a.s. is a 100% subsidiary of Paramo a.s. operating on the fuel retail market through its network consisting of 19 filling stations.

The said transaction is one of the elements of Unipetrol Group retail assets reorganization and aimed at improvement of the efficiency of the retail business. Due to the transaction Paramo Trysk a.s. filling stations will be joint with Benzina a.s. network and Unipetrol holding will gain significant administrative and operational costs savings.
