Thanks to the approved amendment to the articles, the work of core company bodies will be streamlined
Prague, 30 June 2011 – The general meeting of UNIPETROL, a.s. that took place today approved the company financial statements for 2010 and a report by the board of directors on the company’s business activities and the state of its assets. It also made a decision to distribute profits and confirmed three members of the supervisory board in their positions. Amendments to the statutes were also adopted, now allowing meetings of the board of directors, the supervisory board, and the audit committee to take place via teleconferences and videoconferences.
From Unipetrol’s unconsolidated profit for 2010 of CZK 512.1 million, 95% (CZK 486.5 million) will be transferred to the retained profit account from previous years, with the rest deposited in a reserve fund.
The general meeting re-elected three members of the supervisory board to their positions, whose terms had ended. The previous chairman of the supervisory board, Dariusz Jacek Krawiec, the previous vice-chairman Sławomir Robert Jędrzejczyk and Piotr Kearney were re-elected as members of the supervisory board.
Unipetrol's supervisory board will therefore continue to work with the following structure:

Shareholders at the general meeting also approved an amendment to the statutes, the aim of which is to streamline meetings of the company’s board of directors, supervisory board and audit committee. Now it will be possible to hold their meetings via teleconference or videoconference. Other related amendments were also adopted, which will significantly simplify and speed up the work of the top company bodies.
The General Meeting was at the beginning attended by 42 shareholders or their representatives, who possess a total of 64.89% of voting rights.
Information about elected members of the Supervisory Board:
Dariusz Jacek Krawiec was the chairman of the supervisory board since 11 December 2008. He has been the chairman of the BoD and the CEO of the PKN Orlen Group since September 2008. Before joining PKN Orlen, he served as the chairman of the board at Action (March 2006 to 2008).
Sławomir Robert Jędrzejczyk was the vice-chairman of the supervisory board at Unipetrol since 11 December 2008. Since September 2008, he has been the vice-chairman of the board at PKN Orlen. In previous years, he served as the chairman of the board and the CEO at TP EmiTel (2005-2008).
Piotr Kearney has been a member of the supervisory board of Unipetrol since 8 June 2005. Currently, he works as the Director of Mergers and Acquisitions Department in PKN Orlen. Mr. Kearney is at PKN Orlen since 2000, he began at the post of Deputy Director for Capital Investments and later on assumed the position of Strategy and Development Executive Director.
