Strategy Program

After having completed the process of shares acquisition, PKN Orlen together with Unipetrol group started a Partnership Program by establishing joint Value Creation Teams comprising of approximately 200 managers and experts from the Polish and the Czech companies, which focus on 26 areas, including among others refinery and pet-chem businesses, logistics, procurement, repair and maintenance, human resources etc.

The aim of the Partnership Program is exploitation of synergy effects coming from the integration of PKN Orlen and Unipetrol and to increase efficiency of economic processes within the Unipetrol group. As a result of these efforts the teams prepared the detailed business plans, which should be implemented within next three years and which, in conditions comparable to year 2004, should increase Unipetrol’s EBITDA by EUR 138 million annually.

The Board of Directors in the new composition performed an analysis of prospective developments of the capital group and defined its position in the individual business areas. Based on this analysis the Board of Directors concluded that the strategic activities and assets of the group are: - Crude oil processing - Production and sale of fuels and petro-chem products (incl. polyethylene and polypropylene) - Retail sale of fuels and other goods through the own network of filling stations

Stable and efficient management of above activities requires maintaining of full control of the Olefin and POX units within Chemopetrol which must be kept within the holding as well as ensuring the availability of critical complementary raw materials and possibility of disposal of the by-products created during the process of oil distillation (heavy oils, heating oils, asphalt etc.) at attractive prices..

Board of Directors will perform further detailed analyses as well as negotiations aiming to increase the effectiveness of utilization of following assets of Paramo refinery (commercial and production possibilities; potential capital cooperation with the Orlen group in the field of lubricants and asphalts).

Production of butadiene, styrene and polystyrene is not included into the main production program of Unipetrol Group. The discussion about the sale of the company Kaučuk will be led after assuarances of the longterm contracts for stable delivery and taking the products.

Regarding Spolana, we envisage the coordination of production and commercial activities via cooperation or capital transaction (including the poossibility of sale) with Anwil, which belongs to the Orlen capital group.

As for the companies producing and marketing agrochemical products (Agrobohemie/ Lovochemie) and specialty chemical products (Aliachem), in which Unipetrol does not have the controlling stake, the plan calls for selling of the existing stakes. The condition for their sale is obtaining the price, which would correspond to the market value of their assets.

The Unipetrol capital group will also execute other restructuring processes, which implementation will lead to increased efficiency and further building of shareholder value. The strategy project mentioned above will be presented by the Board of Directors to the appropriate bodies of the company.​
