Pardubice, 6 January 2009 - Paramo shareholders today decided at an Extraordinary General Meeting to transfer all other shares in the Pardubice refinery to Unipetrol. After meeting all the conditions stipulated by the appropriate legal regulations Unipetrol will offer a financial consideration of CZK 977 per share to other shareholders and any pledgees if a lien on the shares can be proven. The price was stipulated on the basis of a valuation carried out by American Appraisal s.r.o. and confirmed by the Czech National Bank.Ownership rights to the shares will be transferred to Unipetrol in accordance with the Commercial Code with the expiry of one month of the publication of the minutes of the resolution passed at the General Meeting in the Commercial Register.
The Extraordinary General Meeting also elected Rafal Tarka a member of the Supervisory Board, thus confirming the decision taken on 22 December 2008 by the Supervisory Board on his appointment as substitute member when Aneta Pankowská resigned from her post.
Other points on the agenda were also discussed, though not approved, including a decision on dissolution of the company with liquidation, the recall of all members of the Supervisory Board with the exception of members elected by the employees, the election of all members of the Supervisory Board with the exception of members elected by the employees, and payment of an extraordinary dividend.

PARAMO, a.s., is an oil refiner operating in the sphere of the production of fuels, lubricants and asphalt. It has been a member of the UNIPETROL Group since 2000. In the first half of 2008 it employed 770 people. At present UNIPETROL has a 91.77% ownership interest in the company.
